1. Acceptance of Terms

By accessing, downloading, installing, or using Pairify, you represent and warrant that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference. We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or via email. Your continued use of the App after such modifications constitutes acceptance of the updated Terms.

2. Eligibility and Account Requirements

To use Pairify, you must meet the following requirements:

• You must be at least 16 years of age. Users between 16 and 18 must have the consent of a parent or legal guardian to use the App.
• You must provide accurate, complete, and current information during registration and keep your account information up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You may only create and maintain one account. Duplicate accounts may be terminated without notice.
• You must notify us immediately at support@pairify.app if you suspect any unauthorized access to or use of your account.

3. Description of Service

Pairify is a collaboration matching platform that connects individuals seeking project collaborators. The App allows users to create profiles, discover potential collaborators, match with compatible users, communicate via in-app messaging, and create or join collaborative projects. Pairify does not guarantee any particular outcome from using the service, including but not limited to successful collaborations, project completion, or professional opportunities.

4. Acceptable Use Policy

You agree to use Pairify only for its intended purpose of finding project collaborators and engaging in professional networking. You agree to conduct yourself in a respectful, professional, and lawful manner at all times.

4.1 Prohibited Conduct

You agree not to:

• Harass, bully, intimidate, threaten, or abuse any other user, including through messages, profile content, or any other means.
• Create fake, misleading, or impersonating profiles. All profile information must be truthful and represent you accurately.
• Send unsolicited commercial messages, spam, or promotional content to other users.
• Scrape, crawl, or use automated means to access, collect, or extract data from the App or its users.
• Upload, post, or transmit content that is unlawful, defamatory, obscene, pornographic, hateful, discriminatory, or otherwise objectionable.
• Attempt to gain unauthorized access to other users' accounts, the App's systems, or any related networks or servers.
• Use the App for any purpose unrelated to professional collaboration, including but not limited to dating, solicitation, or recruitment for illegal activities.
• Interfere with or disrupt the integrity, security, or performance of the App.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
• Use the App to collect personal information about other users for purposes unrelated to the App's intended functionality.

4.2 Content Standards

All content you post or share on Pairify must:

• Be accurate and not misleading.
• Not infringe upon the intellectual property rights of any third party.
• Not contain viruses, malware, or any other harmful code or links.
• Comply with all applicable laws and regulations.

4.3 Reporting Violations

If you encounter any content or behavior that violates these Terms, please report it using the in-app reporting feature or by contacting us at support@pairify.app. We investigate all reports and take appropriate action, which may include content removal, account suspension, or permanent termination.

5. Intellectual Property

5.1 Our Intellectual Property

The App, including its design, features, functionality, code, graphics, logos, trademarks, and all related intellectual property, is owned by Pairify and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works based on the App or any of its content without our prior written consent.

5.2 Your Content

You retain ownership of the content you create and post on Pairify (including profile information, messages, and project descriptions). By posting content on the App, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your content solely for the purpose of operating and providing the App's services. This license terminates when you delete your content or your account, except where your content has been shared with other users or where retention is required for legal or operational purposes.

6. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the App, you consent to our data practices as described in the Privacy Policy.

7. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PAIRIFY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

• The App will be available at all times, uninterrupted, or error-free.
• The results obtained from the use of the App will be accurate, reliable, or meet your expectations.
• Any matches, collaborations, or connections facilitated by the App will be successful or satisfactory.
• The App will be free from viruses, security vulnerabilities, or other harmful components.

We do not endorse, verify, or guarantee the identity, qualifications, skills, or intentions of any user. You interact with other users at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAIRIFY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the App.
• Any conduct or content of any third party on the App, including any defamatory, offensive, or illegal conduct by other users.
• Any content obtained from the App.
• Unauthorized access to or alteration of your data or transmissions.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE APP EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pairify and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) your content posted on the App.

10. Termination

We reserve the right to suspend or terminate your account and access to the App at any time, with or without cause and with or without notice, including but not limited to cases where:

• You violate these Terms or any applicable law.
• Your conduct poses a risk to the safety or well-being of other users.
• Your account has been inactive for an extended period.
• We discontinue or materially modify the App.

You may terminate your account at any time by using the account deletion feature in the App's Settings. Upon termination, your right to use the App ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

11. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith informal negotiation. If informal resolution is unsuccessful within 30 days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), conducted in English. The arbitrator's decision shall be final and binding. You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that any legal proceeding is permitted outside of arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pairify regarding your use of the App.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Pairify.
